1. Acceptance of Terms

By accessing or using RepairHQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

RepairHQ is a cloud-based repair shop management software that provides tools for ticketing, point of sale, inventory management, customer relationship management, employee management, and business reporting. The Service is provided on a subscription basis.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

• You are responsible for safeguarding your password and any activities under your account
• You must notify us immediately upon becoming aware of any breach of security
• You may not use as a username the name of another person or entity
• You may not use a name that is trademarked without appropriate authorization

4. Subscription and Billing

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or annually). Billing cycles are set on a regular basis.

• A valid payment method is required to process the payment for your subscription
• You shall provide accurate and complete billing information
• Subscription fees are non-refundable except as required by law
• We reserve the right to change subscription fees upon 30 days notice

5. Free Trial

RepairHQ may offer a free trial period. At the end of the free trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. You may be required to provide payment information to start a free trial.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of RepairHQ and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without prior written consent.

7. User Data

You retain all rights to the data you upload to the Service ("User Data"). By using the Service, you grant us a limited license to use, store, and process your User Data solely for the purpose of providing the Service.

• You are responsible for the accuracy and legality of User Data
• You must have the right to upload and share any User Data
• We will not sell or share your User Data with third parties for marketing purposes
• Upon termination, you may request export of your User Data within 30 days

8. Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, or laws
• To infringe upon or violate our intellectual property rights or the rights of others
• To harass, abuse, insult, harm, defame, or discriminate
• To upload or transmit viruses or any other type of malicious code
• To interfere with or circumvent the security features of the Service
• To attempt to gain unauthorized access to any portion of the Service

9. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems requiring maintenance, resulting in interruptions, delays, or errors. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

10. Limitation of Liability

In no event shall RepairHQ, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Service.

11. Indemnification

You agree to defend, indemnify, and hold harmless RepairHQ and its licensees, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so by contacting us or through the account settings.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
